Terms of service

1. Agreement

These terms govern your use of this website and, together with a signed order form or pilot agreement, the ResidentAxis product (the “Service”) provided by [COMPANY LEGAL NAME, LLC] (“ResidentAxis”, “we”). If you use the Service on behalf of an organisation, you represent that you are authorised to bind it. Where a signed agreement conflicts with these terms, the signed agreement prevails.

2. Accounts and roles

Operators create and manage accounts for their staff, residents, owners and vendors. You are responsible for keeping credentials confidential, enabling multi-factor authentication where offered, and for activity under your accounts. We may suspend accounts that threaten the security or integrity of the Service.

3. The Service and what it is not

ResidentAxis is software for managing property operations. It is not a bank, payment processor, money transmitter, consumer reporting agency, law firm, accounting firm, housing authority or government agency. Payments are processed by the payment provider on the Operator’s own account; screening reports are supplied by a consumer reporting agency the Operator contracts; lease templates, compliance rules and notices are tools the Operator configures and is responsible for. Nothing in the Service is legal, tax, financial or compliance advice.

4. Acceptable use

You will not use the Service to violate law (including fair-housing, consumer-reporting and debt-collection laws), to infringe rights, to store data you are not entitled to, to probe or disrupt the Service, or to access another tenant’s data. You will obtain any consents required from residents, applicants, owners and vendors.

5. Customer data

Operators own their data. We process it to provide the Service under our privacy policy and any data-processing agreement. Operators may export their data through the API and CSV exports at any time during the term.

6. Fees

Fees are set out in the order form or pilot agreement. Third-party fees (payment processing, screening, SMS, identity verification) are charged by those providers or passed through as itemised. Taxes are the Operator’s responsibility unless stated otherwise.

7. Term, pilots and termination

Pilot agreements have a defined term with no obligation to continue. Ongoing subscriptions renew as stated in the order form. Either party may terminate for uncured material breach on [30] days’ notice. On termination we make data available for export for [e.g. 30 days] and then delete it, subject to legal retention.

8. Intellectual property

We own the Service and its content; you receive a limited, non-exclusive right to use it during the term. Feedback may be used without obligation.

9. Warranties and disclaimers

We will provide the Service with reasonable skill and care and as described in our documentation. Except as expressly stated, the Service is provided “as is”. We do not warrant that generated documents, compliance checks, reports or suggestions are complete, current or fit for a particular legal purpose.

10. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, consequential or punitive damages, and our aggregate liability is limited to the fees paid in the [12] months before the claim, except for breaches of confidentiality, data-protection obligations or indemnities as set out in the signed agreement.

11. Mobile applications

Use of the iOS and Android applications is also subject to the applicable app-store terms. Biometric unlock uses the device’s own biometric system; we never receive biometric data.

12. Governing law

These terms are governed by the laws of [Commonwealth of Virginia], without regard to conflict-of-law rules. Courts located in [VENUE] have exclusive jurisdiction, unless the signed agreement provides otherwise.
